Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the maticdrafting.com website (the "Site") and any drafting, shop drawing, fabrication drawing, BIM coordination, 3D modeling, or related design services (the "Services") provided by Matic Drafting & Design ("Matic Drafting," "we," "us," or "our"), a business operating in Las Vegas, Nevada.

By accessing the Site or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Site or engage our Services. These Terms apply in addition to any separate written agreement or contract executed between Matic Drafting and the Client. In the event of a conflict, the terms of a signed written agreement shall prevail.

2. Description of Services

Matic Drafting provides professional drafting and design services for the glazing and architectural glass industry, including but not limited to:

  • Shop drawings for curtain wall, storefront, glass railing, all-glass entrance, skylight, canopy, shower enclosure, and related glazing systems
  • Fabrication drawings for glass and metal components
  • 3D modeling and BIM coordination
  • Drawing revisions and resubmittals
  • Technical coordination with architects, general contractors, and manufacturers

The specific scope, deliverables, timeline, and pricing for any project will be defined in a written proposal, quote, or agreement provided to the Client prior to commencement of work.

3. Scope of Work & Client Responsibilities

Matic Drafting will perform Services based on the information, documents, specifications, and direction provided by the Client. The Client is responsible for:

  • Providing accurate and complete architectural drawings, specifications, system selections, and project requirements in a timely manner
  • Reviewing all deliverables and providing feedback, markups, or written approval within a reasonable timeframe
  • Ensuring that all information provided to Matic Drafting is accurate and that the Client has the legal right to share such information
  • Obtaining all necessary approvals from architects, engineers, general contractors, and building officials
  • Verifying all field conditions, dimensions, and structural conditions prior to fabrication and installation

Delays caused by incomplete, inaccurate, or late information from the Client may affect project timelines and may result in additional charges.

4. Drafting Services — Not Engineering or Design

Matic Drafting provides drafting and documentation services only. We are not licensed architects, professional engineers, or structural engineers, and our Services do not constitute architectural design, structural engineering, or professional engineering services.

Our drawings are produced based on information provided by the Client and the project's architectural and engineering documents. The Client is solely responsible for ensuring that all designs, systems, and specifications meet applicable building codes, structural requirements, energy codes, life safety requirements, and regulatory standards.

The Client shall engage appropriately licensed professionals (architects, structural engineers, etc.) for all design, engineering, and code compliance determinations. Matic Drafting assumes no responsibility for the adequacy or safety of any design, system selection, glass specification, structural connection, or engineering calculation.

5. Revisions

Revisions that arise from changes to the original scope, specifications, or project requirements provided by the Client — including but not limited to architect's review comments that alter the originally specified scope — will be treated as additional work and may be subject to additional charges at our standard rates.

Revisions that arise from errors or omissions in our own work will be corrected at no additional charge within a reasonable timeframe.

The number of revision rounds included in a project will be defined in the project proposal or agreement. Additional revision rounds beyond the agreed scope may be billed separately.

6. Pricing, Payment & Invoicing

Pricing for Services will be provided in a written quote or proposal prior to work commencing. Unless otherwise agreed in writing:

  • Invoices are due upon receipt or as specified in the project agreement
  • Payment terms are Net 30 from the invoice date unless otherwise negotiated
  • Late payments may be subject to a service charge of 1.5% per month (or the maximum permitted by law) on the outstanding balance
  • We reserve the right to suspend work on any project with overdue invoices until payment is received
  • The Client is responsible for any collection costs, including reasonable attorney's fees, incurred in collecting past-due amounts

7. Intellectual Property & Deliverables

Upon receipt of full payment for the applicable project, the Client receives a license to use the final approved deliverables (drawings, models, and related files) for the specific project for which they were created. This license is non-exclusive and limited to the project scope.

Matic Drafting retains ownership of all original work, templates, methods, processes, standards, and reusable components developed during the course of providing Services. We reserve the right to use anonymized or non-confidential project images and descriptions in our portfolio and marketing materials, unless the Client provides written notice to the contrary.

The Client shall not reuse, reproduce, or adapt deliverables for other projects without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Matic Drafting's total aggregate liability arising from or related to the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total fees actually paid by the Client to Matic Drafting for the specific project giving rise to the claim.

In no event shall Matic Drafting be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of business, project delays, cost of rework, cost of replacement materials, cost of re-fabrication, installation costs, cost overruns, business interruption, or damages arising from claims by third parties — even if Matic Drafting has been advised of the possibility of such damages.

Matic Drafting shall not be liable for any damages, losses, or claims arising from:

  • The Client's failure to verify field conditions, dimensions, or structural conditions
  • Fabrication or installation performed without approved-for-construction drawings
  • Changes made to our drawings by others without our written approval
  • Inaccurate, incomplete, or outdated information provided by the Client or third parties
  • Design deficiencies in the architectural or engineering documents upon which our drawings are based
  • System performance, water infiltration, structural failure, glass breakage, or any other performance issue related to the design, engineering, manufacturing, or installation of the glazing systems
  • Non-compliance with building codes, energy codes, or regulatory requirements, which is the responsibility of the licensed design professionals

9. Indemnification

The Client agrees to indemnify, defend, and hold harmless Matic Drafting and its owners, employees, agents, and subcontractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

  • The Client's use of the deliverables
  • The Client's breach of these Terms
  • Any third-party claims related to the project, including claims arising from fabrication, installation, or system performance
  • Inaccurate information provided by the Client

10. Confidentiality

Both parties agree to treat as confidential any proprietary or non-public information received from the other party during the course of the engagement, including but not limited to project documents, pricing, business processes, and client lists. This obligation survives the termination of the engagement.

11. Termination & Cancellation

Either party may terminate the engagement by providing written notice to the other party. In the event of termination:

  • The Client shall pay for all Services performed and expenses incurred through the date of termination
  • Matic Drafting will deliver all work completed to date upon receipt of payment
  • Any deposits or prepayments for work not yet performed may be refunded at Matic Drafting's discretion, less a reasonable administrative fee

12. Force Majeure

Neither party shall be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, labor disputes, internet or power outages, or acts of war or terrorism.

13. Dispute Resolution

Any disputes arising from or related to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover its reasonable attorney's fees and costs.

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

14. Website Use

The content on this Site is provided for general informational purposes. While we strive to keep the information accurate and current, we make no warranties or representations about the completeness, accuracy, or reliability of any content on the Site.

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Site or its systems
  • Use automated tools to scrape, collect, or extract content from the Site
  • Reproduce, distribute, or modify any content from the Site without our prior written consent

15. Warranty Disclaimer

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Matic Drafting does not warrant that the Site will be uninterrupted, error-free, or secure.

Matic Drafting does not warrant or guarantee the accuracy, completeness, or fitness for any particular purpose of any drawings, models, or deliverables. All deliverables must be reviewed and approved by the Client and the Client's licensed design professionals before being used for fabrication, installation, or construction.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any written project proposal, quote, or agreement, constitute the entire agreement between the parties with respect to the subject matter hereof. These Terms supersede all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter.

18. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
